The Director, Assistant General Counsel is responsible for planning, directing, advising, and executing the legal function for Baylor Scott & White Health (BSWH), which includes providing legal advice on issues concerning the legal rights, obligations, litigations, and privileges of BSWH and may include specialized legal advice in an area of expertise or assigned area of responsibility. Develops and implements legal policies, procedures, and practices and ensures the organization complies with all applicable laws and regulatory requirements. Leads, develops, reviews, and negotiates legal documents, letters of agreements, contracts, opinions, correspondence, and reports in various legal areas which may include litigation, joint ventures, physician groups, complex contracts, commercial transactions, intellectual property, employment, compliance, and federal, state, and regulatory matters. Provides legal review for BSWH communications, contracts, documents, filings, and press releases as appropriate. Interprets and clarifies relevant laws, rulings, regulations, and statutes for senior leadership and advises on proposed legislation and recent changes in laws and regulations that affect BSWH. Identifies, monitors, and addresses issues of legal risk and protects BSWH legal interests and rights. As applicable to the assigned area of responsibility, represents and advocates for the organization in litigation, arbitration, mediation, or other disputes with courts, government agencies, or other legal authorities. Leads and conducts written discovery, due diligence, and trial preparation as appropriate. Represents the organization to patients, vendors, suppliers, government entities, regulatory agencies, and other external parties. Works closely with senior leadership, risk management, compliance, operations, and other stakeholders to identify and prevent violations of law and promote BSWH legal compliance with all applicable laws and regulations.
ESSENTIAL FUNCTIONS OF THE ROLE
1.?Directs the legal function for assigned area of responsibility for BSWH. 2.?Recommends and implements strategic and operational plans and priorities for legal services aligned to BSWH overall business objectives. 3.?Prepares, reviews, negotiates, and explains a wide variety of contracts, including but not limited to supplier agreements, consignment or reseller agreements, services agreements, staffing agreements, educational affiliations, technology agreements, sponsorship or endorsement agreements, government agreements and grants, data sharing agreements, security and privacy terms, and non-disclosure agreements. 4.?Works closely with business leaders, supply chain services, compliance, security, and other departments to understand their needs and ensure contracts meet operational objectives. 5.?Provides legal advice on contractual matters, assessing potential risks and offering solutions that align with business strategies while minimizing legal exposure. 6.?Develops and provides training and training materials to non-attorney team members across departments, ensuring they understand key legal concepts and BSWH policies as they relate to contracts and negotiations.
7.?Advises on law, regulations, and opinions of courts and directs the preparation of legal interpretations outlining facts and applicable legal decisions. 8.?Coordinates communication with other attorneys within the department to provide legal advice and counsel on business matters and issues that arise as needed. 9.?Identifies legal and business risks and offers effective solutions tailored to the situations. 10.?Reviews policies and programs to assess legal risk, render an opinion, and communicate impact to BSWH.
KEY SUCCESS FACTORS
1.?Juris Doctorate degree required. 2.?7+ years of experience practicing law, preferably with a strong focus on contract law and negotiation in a regulated industry. 3.?In-house experience preferred, with demonstrated problem-solving and strategic business partnership. 4.?Technology proficiency, preferably including AI tools for contract review. 5.?Possesses a current law license in U.S. state of residence. 6.?Must obtain a Texas law license within 6-14 months of hire. 7.?Excellent relationship building and influencing skills. 8.?Excellent written, verbal, and presentation skills.
